Welcome to PlumDeals (“we,” “our,” or “us”), a software-as-a-service (SaaS) platform owned and operated by Western Star Group LLC. These Terms and Conditions govern your access to and use of the PlumDeals website (https://plumdeals.net), application, and related services (collectively, the “Platform”).

By registering an account or using the Platform, you agree to be bound by these Terms.

1. Description of Service

PlumDeals provides a proprietary deal-matching and notification engine for commercial real estate brokers and qualified investors. The Platform allows users to post pre-listed and unlisted market deals, configure visibility settings, define buying criteria (“Buy Box”), and receive automated matches based on mutually confirmed interest.

2. Nature of the Platform (No Brokerage Relationship)

Important: PlumDeals provides technology and software services only. Neither PlumDeals nor Western Star Group LLC is acting as a real estate broker, agent, fiduciary, or financial advisor in connection with your use of the Platform.

• We do not represent buyers or sellers in transactions originating on the Platform.
• We do not negotiate terms, hold escrow, or earn real estate commissions from matched deals.
• Users are solely responsible for conducting their own due diligence and engaging their own licensed legal and real estate professionals.

Peer-to-Peer Referrals

PlumDeals provides a matching algorithm for off-market commercial real estate. PlumDeals is not a licensed real estate broker. Any referral fees or compensation arrangements resulting from matches made on the platform are strictly between the participating licensed professionals. PlumDeals does not participate in or enforce any fee-sharing agreements.

Verification Disclaimer

PlumDeals does not independently verify the accuracy of any financial information, zoning status, physical condition, or other characteristics of matched assets. All due diligence rests entirely with the licensed professionals and their clients.

3. User Eligibility and Registration

To use the Platform, you must be at least 18 years old and capable of forming a binding contract.

• Brokers: Must register using a verifiable professional email address and maintain active, valid licensure in their respective jurisdictions.
• Investors: May be required to provide proof of funds or pass verification checks before communicating with deal sponsors.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Deal Postings and Privacy

PlumDeals is a privacy-first platform designed to protect sensitive transaction data.

• Data Control: You control the visibility of your listings (e.g., constrained to your brokerage, a custom list, or public).
• Sensitive Information: Address-level details and other identifying property information are withheld until both parties confirm mutual interest.
• Accuracy: You warrant that all descriptive statements, parameters, and criteria you provide are accurate and that you have the legal right to market the deals you post.

5. Acceptable Use

You agree not to:

• Use the Platform to distribute false, misleading, or fraudulent information.
• Attempt to bypass the matching engine to scrape, harvest, or mass-download user data or listing information.
• Use the Platform if you are a competitor seeking to reverse-engineer our proprietary matching algorithms.
• Violate any applicable local, state, or federal laws, including fair housing, securities, and real estate syndication regulations.

6. Intellectual Property

All content, design, algorithms, and software on the Platform are the exclusive property of Western Star Group LLC. You retain ownership of the deal data you upload; however, by posting it, you grant us a worldwide, royalty-free license to use, display, and process that data solely for the purpose of operating the Platform’s matching engine.

7. Limitation of Liability

To the maximum extent permitted by law, Western Star Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your use of the Platform or any transactions that occur between users as a result of a match. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.

8. Subscriptions and Billing

Use of premium matching features may require a paid subscription. All fees, including the one-time Referral Agent fee, are non-refundable except where the Platform failed to activate a profile due to a technical error. We reserve the right to modify our pricing structure with prior notice.

Single Deal Profile (Referral Agent Tier)

The one-time Referral Agent fee grants access to the matching engine and the targeted distribution of a single deal profile (“Buy-Box”). The service is considered fulfilled when PlumDeals facilitates a secure, opt-in conference call introduction between the referring agent and the listing broker. If no match is found within ninety (90) days of activation, the profile expires. Material changes to the Buy-Box criteria require a new deal profile submission. The fee purchases access to the matching service only; it does not guarantee a match, an introduction, or a successful real estate closing.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in California.
